DOWNTOWN LOS ANGELES NEIGHBORHOOD COUNCIL LOGO COMPETITION RULES
1.
Agreement to be Bound by Official Competition Rules. Each person who submits an entry in the Competition becomes an "Entrant," and agrees that, by the submission of such entry, these Official Competition Rules are binding upon such person.

Eligibility to Enter the Competition; Number of Entries Allowed. An Entrant may submit up to three (3) entries to the Competition. An "Entrant" includes anyone who qualifies as a Downtown Los Angeles Neighborhood Council stakeholder. A stakeholder is anyone who lives, works, or owns property in the neighborhood and any individual who declares a stake in the Downtown Los Angeles neighborhood and affirms a factual basis for it. A map of the Downtown Los Angeles boundaries is available online at http://www.dlanc.com/bylaws.php. Artwork must be original. Design should not be copied from other artwork or published material. The artwork must be the Entrant’s own. Photographs, photocopies and computer “clip art” graphics are not allowed. Board members and community stakeholders are permitted to enter the competition but, if they enter, they must exclude themselves from the Selection Committee. There are no entry or submission fees to participate in the Competition.

First Place/Competition Winner and Second and Third Place Runners-Up. The Downtown Los Angeles Neighborhood Council (NC) will announce the results of the competition at the Board of Directors meeting on Tuesday, May 12, 2009 at the Los Angeles Theater (615 S. Broadway, Los Angeles, CA). In the event of a lack of a quorum of Board of Directors at the June 9, 2009, meeting, the decision regarding the results of this competition will be continued to the board’s subsequent regular meetings, until such time as a determination is made. Any winners will also be announced on the NC Internet site and elsewhere shortly thereafter.

Criteria for Selection of Winning Entries. The winner(s) and the runners-up will be selected in the discretion of the NC and based upon the artistic quality of the design and the way(s) in which it symbolizes the Downtown Los Angeles Neighborhood Council. Entrants are welcome to include, with their entries, a brief explanation (200 words maximum) of how the design of the logo being submitted reflects Downtown and the Downtown Los Angeles Neighborhood Council. The logo should be suitable for adaptation to a variety of formats, such as printed materials, the Web site, etc. It should maintain its appearance well in different sizes. The original logo can be black and white, greyscale, or in color (five colors or less). The logo must be created digitally and reproduce well in black and white as a letterhead. The logo must incorporate the name "Downtown Los Angeles Neighborhood Council."

Format of Entries. Each entry should contain the design of the logo, including any suggested associated lettering. Each entry must contain the Entrant’s full name, e-mail address, stakeholder status, and residential or business address. The Entrant is encouraged to include his or her telephone number, if available. Entries may be submitted in any language, although the Downtown Los Angeles Neighborhood Council would appreciate receiving a translation of any accompanying explanation in English, where possible. All Entrants must sign and date a copy of these Competition Rules, where indicated below, and return the signed Competition Rules along with each entry.

Submission of Entries. The preferred method is a digital entry by e-mail to the Downtown Los Angeles Neighborhood Council at logo@dlanc.com. However, we will accept entries on a CD delivered to the NC Office in the Spring Arts Tower (453 S. Spring Street, Suite 1020, Los Angeles CA 90013) by Tuesday, May 12, 2009 at 12:00 Noon. Files should be TIF, JPEG, or PNG format. The file should not exceed 1.5 MB. The Downtown Los Angeles Neighborhood Council does not assume any responsibility for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled transmissions, or for any service provider or Internet accessibility or availability, traffic congestion or unauthorized human intervention.
7.
Selection of Winning Entries. A Selection Committee comprised of community stakeholders and board members will be established by the NC to review and evaluate the entries. The Selection Committee will determine in its discretion the top 5 designs and forward their recommendation to the full board for a determination of the contest winners. If any board member or a board member’s immediately family submits an entry, the board member shall be recused from participating in any discussion with other board members or voting on the establishment of the Selection Committee or a determination of the contest results.
8.
Entry Materials Become Property of the City of Los Angeles. Any Entrant who submits any electronic materials to the Downtown Los Angeles Neighborhood Council in connection with the Competition shall agree, by the act of submitting such materials, that all such materials shall become the property of the City of Los Angeles, and the Downtown Los Angeles Neighborhood Council may delete, destroy or otherwise dispose of such materials without any obligation whatever to any Entrant to return such materials following the Competition.
9.
Competition Dates. The Logo Competition will open on Wednesday, March 11, 2009. The deadline to submit entries is 12:00PM Noon, Tuesday, May 12, 2009 by email or 12:00PM Noon, Monday, May 11, 2009 if the entry is on a CD delivered to the NC office (453 S. Spring Street, Suite 1020). The review of entries will begin thereafter.
10.
Right to Reject Entries. The Selection Committee and the Downtown Los Angeles Neighborhood Council reserves the right to reject any entry for any reason and, in case of such rejection, is not required to disclose the reason(s) therefore. In the event that none of the entries is determined by the Selection Committee or the Downtown Los Angeles Neighborhood Council to be satisfactory, there may be no winner of the Competition. If there is no such winner, it will be solely the right of the Downtown Los Angeles Neighborhood Council to determine whether to hold another logo competition.
11.
Modification of the Winning Entries. The Downtown Los Angeles Neighborhood Council reserves the right to modify, change or alter the winning entry or entries to make the final logo more appropriate for the use of the Downtown Los Angeles Neighborhood Council.
12.
Copyright, Right of use. Entrants agree and acknowledge that, upon a determination by the NC that they are a winner of this competition, Entrants irrevocably assign and transfer to the City of Los Angeles, all right, title, interest in and to, and the rights of every kind and nature, including copyright and other intellectual property rights that the Entrants may have by operation of law or otherwise in the submitted design logo. Entrants acknowledge and agree that they have received adequate consideration for this irrevocable assignment and transfer, including but not limited to the benefit that accrues by virtue of designing a winning logo, and the time and effort expended by the City and NC in evaluating the logo. Entrants waive any and all claims, including intellectual property rights and trademark or copyright protection against the City of Los Angeles or the NC for the display and promotion of the submitted logos. The winners of the competition agree that upon request of the City of Los Angeles, the winners will execute any and all documents necessary to further effectuate the intent of this assignment and to inure all benefits of the copyright(s) to the City of Los Angeles. The winners will have the right to the use of the logo in presenting to any entity a record of their work and accomplishments.
13.
Exploitation of the competition results for public relations purposes. By submitting their designs, all Entrants authorize the Downtown Los Angeles Neighborhood Council to use their designs for public relations purposes without compensation, for instance by publishing the competition results in broadcasts and in written or electronic media or both – with a mention of the creators' names – and to display or publish all or some of the submitted designs, or a likeness of the design, anywhere in the world.
14.
Disputes. Should any dispute arise between or among Entrants in the Competition regarding entries submitted by multiple users with the same e-mail account, the person whose name appears on the entry shall be deemed by Downtown Los Angeles Neighborhood Council to be the Entrant.
